LEGAL COUNSEL AND CORPORATE SECRETARIAT OFFICER, TASCONNECT

The Role and Responsibilities

Support the Chief Legal Officer and Head of Corporate Secretariat to:
· Implement his/her vision, strategy and direction for the TASConnect Legal and Corporate Secretariat team consistent with the Company's strategic direction and growth aspirations.
· Provide legal advice, guidance and support to the business units in a timely and effective manner.
  • Provide functional support for the Legal and Corporate Secretarial team across the TASConnect footprint.
· Establish and maintain frameworks to identify, assess, manage, monitory, mitigate and report legal risks across the TASConnect footprint.
· Manage or support disputes involving TASConnect in line with SC Ventures requirements.
· Manage or support cross border investigations and information request order involving TASConnect in line with SC Ventures requirements.
· Manage legal matters and engage external legal counsels across the TASConnect footprint.
· Promote a culture and practice of good culture and adherence to legal and ethical standards within TASConnect.
  • Ensure compliance by TASConnect and its Board with (i) local regulatory requirements and (ii) SC Ventures policies/standards/guidelines.

  • Support provision of company secretarial advice and transactional support for projects and transactions within TASConnect.

  • Promote a culture and practice of good conduct of business and adherence to all corporate secretariat Policies and Standards.

  • Manage corporate secretarial out-sourced service providers on behalf of venture companies.

  • Draft minutes of meetings with or without the assistance of corporate secretarial out-sourced service providers.

  • Prepare board and shareholder resolutions including ensuring all relevant documents and filings pursuant to the resolutions are made.

  • Maintain soft copies of all final and executed/signed documents in shared server.

  • Maintain and safe keep physical documents and registers (where necessary), ensuring files are up to date.

  • Ensure all corporate secretarial information are updated into Blueprint.

  • Provide input into Corporate Action Approval Forms.

  • Support Accountable Executives and Responsible Persons in updating Blueprint and acting as RP for local subsidiary, as required.

Strategy and Personal Leadership

· Take responsibility for providing legal advice, guidance and support to business units and stakeholders in TASConnect on all legal matters and, where required, across the TASConnect footprint.
· Maintain close relationships with stakeholders including the TASConnect Senior Management Team and other committees and to proactively provide them with relevant legal advice, guidance and support on relevant legal and regulatory issues.
· Promote a culture and practice of compliance with legal standards (including conducting business within legal and regulatory requirements, with high ethical standards) within TASConnect; lead through example and set an appropriate tone and expectations for the TASConnect Legal and Corporate Secretariat team with regard to good conduct.
· Develop thought leadership capability - as demonstrated by visibility within TASConnect, and externally (in the industry).
· Comply with the SC Ventures Management Responsibility Policy to ensure effective risk management and the implementation of proper controls across the TASConnect Legal and Corporate Secretariat team.
· Take personal leadership of material contentious issues or inquiries faced by TASConnect by collaborating with the SC Ventures Legal Counsel, where required by SC Ventures Policy and Procedure.
· Act as a point of escalation for any material Legal issues for TASConnect.
· Support and collaborate with broader SC Ventures Legal function to develop effective strategies for identifying horizon Legal risks across the TASConnect footprint.

Processes
· Act as Process Owner for any processes owned by TASConnect Legal and Corporate Secretariat where such processes are executed across the TASConnect footprint.
· Assist with the development of appropriate forms of documentation for transactions entered by TASConnect and, where required, support the creation of standard documentation for TASConnect Legal and Corporate Secretariat.
· Be responsible for the management of such processes in line with the TASConnect process universe as set out in the TASConnect Enterprise Operational Risk Framework.

Risk Management
· Within the TASConnect Enterprise Risk Management Framework, establish and maintain an appropriate risk-based approach to assess, measure, monitor, manage and report Legal risks arising across the TASConnect footprint.
· Maintain an awareness and understanding of the top risks facing TASConnect and the role the individual plays in managing them.
· Contribute to TASConnect Legal risk governance by providing perspective on legal risks, policies and procedures and ensuring consistency in TASConnect appropriate legal risks.

Governance
· Responsible for the effective management of legal matters across the TASConnect footprint.
· Report to and participate in key risk control committees on relevant TASConnect legal risks and issues, where required.
· Maintain an awareness and understanding of the legal and regulatory framework across the jurisdictions in which TASConnect operates, and the regulatory requirements and expectations relevant to the role.
· Challenge fellow executives effectively.
· Work with local regulators (when required to do so) in an open and cooperative manner.

Regulatory and Business Conduct

· Display exemplary conduct and live by the Group's values and Code of Conduct.
· Develop and maintain good relationships with internal and external business stakeholders at appropriate levels ensuring an open and cooperative environment
· Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across Standard Chartered Bank. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
· Collaborate with other GBS Legal Team members to achieve the outcomes set out in the Bank's Conduct Principles: Financial Crime Prevention and The Right Environment.
· Effectively and collaboratively identify, escalate, mitigate, and resolve risk, conduct and compliance matters.

Our Ideal Candidate

· Qualified to practice as a solicitor/attorney or barrister/advocate.
· Experience in private practice or in-house of managing complex legal issues.
· S harp business acumen (including ability to assess risk and appropriate levels of return), strong leadership qualities, excellent interpersonal skills and cultural awareness and sensitivity.
· Understanding of risk management techniques.
· Sound judgment of business practices and reputational risk.
· Exemplary integrity, ethics, independence, and resilience.
· Personal authority with proven ability to establish relationships and provide strong direction at senior levels of the business and the Group, and with external stakeholders.
