We are seeking a Corporate Secretary to oversee and manage corporate secretarial matters across multiple jurisdictions. This role will be responsible for coordinating corporate governance processes, ensuring compliance with regulatory obligations, and managing key corporate actions such as entity incorporations and ongoing maintenance.
Key Responsibilities
Corporate Governance & Compliance
- Oversee corporate actions such as board/shareholder meetings, regulatory filings, and entity maintenance, ensuring timely execution and compliance with local regulations.
- Act as the primary liaison with external corporate secretarial service providers, managing deliverables and ensuring resolutions and filings are completed on time.
- Maintain an internal corporate calendar to track filing deadlines, compliance milestones, and board/shareholder approval timelines.
Entity Management & Corporate Actions
- Manage the incorporation of new entities and maintain corporate records for existing ones, ensuring all regulatory requirements are met.
- Facilitate changes in directorships, shareholding structures, corporate restructuring, and entity dissolutions efforts in coordination with external vendors and legal advisors.
- Conduct jurisdictional research to ensure corporate actions align with governance and compliance requirements in different regulatory environments.
Project Management & Internal Coordination
- Act as the bridge between external vendors and internal teams, ensuring corporate secretarial processes are well understood, planned, and executed efficiently.
- Coordinate document execution and signatory approvals, ensuring all required parties review and sign documents within stipulated timelines.
- Maintain an internal database of corporate records, ensuring accessibility and compliance with document retention policies.
Requirements
- Experience managing corporate secretarial matters across multiple jurisdictions, preferably in fintech, financial services, or law firms.
- Ability to track and manage corporate filing deadlines, entity records, and compliance obligations in a structured and organized manner.
- Strong stakeholder management skills, with experience coordinating with external legal counsel, corporate service providers, and senior management.
- Project management and organizational skills, with the ability to manage multiple corporate actions, including incorporations and dissolutions, simultaneously.
- Strong communication skills, with the ability to explain governance requirements and corporate processes clearly to internal teams.
